What are Opportunity Zones?

Opportunity Zones are economically distressed communities that under certain conditions can allow you to defer or even completely eliminate your capital gains tax burden. Opportunity Zones are an incentive to spur private and public investment in America’s underserved communities.

The first set of QOZ locations were designated on April 9, 2018. Today, they cover parts of all 50 states, the District of Columbia, and 5 U.S. territories.

What is a QOF?

A Qualified Opportunity Zone (QOF) is an investment vehicle that files either a partnership or corporate federal income tax return and is organized for the purpose of investing in QOZ property.

In addition, income may be paid on this investment. Given that the purpose of the program is to improve particular areas, it is expected that the fund will continue to invest in the improvement of the property in which it is invested. Cash flow may occur once the property improvements are complete and the property is leased or sold to third parties.

How does the OZ program work?

To defer a capital gain (including net §1231 gains), a taxpayer has 180 days from the date of the sale or exchange of appreciated property to invest the realized capital gain dollars into a Qualified Opportunity Fund (QOF). The fund then invests in Qualified Opportunity Zone property.

The Opportunity Zone program allows for the sale of any appreciated assets, such as stocks, with a reinvestment of the gain into a Qualified Opportunity Fund (QOF). There is no requirement to invest in a like-kind property to defer the gain.

Opportunity Zones are economically distressed areas within the United States where over 30 million people live and work. OZs are in locations that are a part of daily life for many including downtown communities, industrial parks, suburbs, and rural areas.

Taxpayers can help improve these areas by putting their capital gain into a Qualified OZ fund. If this is done properly, 
ideally by an experienced OZ expert, there is a delay and reduction of taxes owed to the government. If held for 10 years, the taxpayer can pay zero capital gains tax on the new investment in the fund.

Ultimately, if you hold your investment in a QOF for 10 years, you will pay no capital gains tax or depreciation recapture on the exit, which could lead to a 30-40% greater net return.
